WONDERWORKS ADDITIONAL SERVICE TERMS AND CONDITIONS

SERVICES TO BE RENDERED

1. The parent(s) or guardian(s) (the “Parents”) named on the contract wish to engage Kidspace Playdate Ltd., d.b.a. WonderWorks (“WonderWorks”), to provide child education services to the child as named in the Form (the “Child”), pursuant to the programming offered by WonderWorks (the “Services”) and WonderWorks hereby agrees to perform the Services, including, without limitation, the following:

(a) providing a clean, safe, and secure indoor space; and

(b) providing a variety of instructions and activities for the Child.

2. WonderWorks shall provide the Services in accordance with applicable laws, rules and regulations.

LIABILITY, RISKS & DISPUTE RESOLUTION

3. The Parents represent and warrant that they have the right to make decisions concerning the care, custody, and control of the Child.

4. The Parents expressly assume all risks associated with the Child’s participation in the Services provided by WonderWorks and any other activities that may occur on or outside the facilities of WonderWorks (collectively, the “Activities”). The Parents recognize that injuries are a common and ordinary occurrence during the Activities. The Parents have been informed and understand all rules and regulations of the Child’s participation in such Activities. Recognizing these risks, the Parents voluntarily choose to allow the Child to participate in such Activities and expressly and voluntarily assume all risks and full responsibility for any sickness or injury of the Child arising out of or related to the Activities.

5. In consideration for allowing the Child to participate in the Activities, the Parents agree, to the greatest extent permitted by law, to waive any and all claims against and to hold harmless, release, indemnify, and agree to not sue WonderWorks, and each of its affiliated companies and subsidiaries, and all its respective insurance companies, successors in interest, volunteers, agents, employees, representatives, assignees, officers, directors and shareholders (each a “Released Party”) for any injury, including death, loss, property damage or expense, which the Parents and their respective heirs, executors, and administrators, the Child or any third party may suffer, arising in whole or in part out of the Child’s participation in the Activities, including, but not limited to, those claims based on any Released Party’s alleged or actual negligence or breach of any contract or express or implied warranty or breach of any statutory or other duty of care, including any duty of care under the Occupiers Liability Act (British Columbia). The Parents understand that negligence includes failure on the party of any Released Party to take reasonable steps to safeguard or protect against the risks, dangers and hazards of the Activities.

6. The Parents and their respective heirs, executors, and administrators agree to indemnify WonderWorks and hold WonderWorks harmless from, without limitation, any and all claims, actions, suits, procedures, costs, expenses, damages and liabilities, including attorney’s fees and costs, incurred due to claims brought by any party as a result of or arising out of the Parents or the Child’s involvement in the Activities and agree to reimburse WonderWorks for any such costs, expenses and fees as they are incurred.

7. All disputes arising out of or in connection with this WonderWorks Service Terms and Conditions, or in respect of any legal relationship associated therewith or derived therefrom, shall be referred to and finally resolved by arbitration administered by the Vancouver International Arbitration Centre (VanIAC) pursuant to its applicable Rules. The place of arbitration shall be Vancouver, British Columbia, Canada.

ABSENCES AND CREDITS

8. Subject to Section 8 and 9, WonderWorks will provide refunds for absences, for any reason, in the form of a credit for future Activities at WonderWorks (the “Credit”), if the Parents provide 48 hours’ advance written notice of the Child’s absence (the “Notice”).

9. For regular Activities or monthly Activities, Credit will only be extended for 1 absence per calendar month for each Child per course, provided WonderWorks has received Notice. Each child is only eligible for one Credit per month per course.

10. For seasonal Activities with a duration of at least 3 months, Credit will only be extended for a total of 2 absences for each Child per course, provided WonderWorks has received Notice.

MEDIA USE

11. WonderWorks may take photographs and videos of the Child during the courses. The Parents hereby consent to photography and videography of the Parents and the Child.

12. The Parents hereby consent to the use by WonderWorks of any and all work product created by the Child and photographs, voice or sound bites, or all other forms of media of the Parents or the Child, for any purposes, including, but not limited to, advertisement and web content. The Parents understand that no royalty or other compensation shall be payable by WonderWorks to the Parents or the Child by reason of such use.

FIELD TRIPS

13. WonderWorks may take the Child off premises for supervised excursions or field trips. WonderWorks will inform the Parents about field trips in accordance to its policies. The Parents will sign a separate consent form in order for the Child to participate in the field trips.

DIAPERS

14. For the courtesy of our staff and other students, WonderWorks will only accept children who are toilet-trained. Pull up diapers are not allowed.

REMOVAL FOR CONDUCT

15. If there are any serious concerns about the behaviours of the Child and such behaviours of the Child impose a risk to themselves or any children around them, the Child may be removed from the Activities and the Parents may be asked to withdraw the Child from the program.

16. WonderWorks reserves the right to terminate the Services without notice.

HEALTH & SICKNESS

17. WonderWorks values the health of children in our care and the health of our staff. The Parents will ensure that the Child stays home or make alternate arrangements for the care of the Child for the following conditions:

(a) Body temperature of 38°C or higher;

(b) Infected eyes or skin;

(c) Any type of contagious or communicable disease such as flu, hand, foot and mouth disease, measles, chicken pox, etc;

(d) Unexplained diarrhea or loose stools;

(e) Vomiting that is not caused by choking;

(f) Cold accompanied by fever and runny nose; or

(g) A croupy cough or congestion to a point that the child’s breathing sounds heavy or laboured.

18. The Parents will immediately inform WonderWorks if the Child has contracted any communicable diseases or parasites.

19. If a communicable disease has been introduced to the facilities of WonderWorks, the Parents will be notified. WonderWorks will also report these occurrences to the local health authorities as required.

20. If the Child has contracted a communicable disease, before the Child is allowed to return to the facilities of WonderWorks and participate in the Activities, WonderWorks may request that the Parents provide a written note from a licensed physician that states that the Child is no

longer infectious and fit to return to daycare and childcare.

21. WonderWorks reserves final authority to determine whether the Child is suitable to participate in the Activities and to remove the Child from the Activities, as required. The Parents agree to arrange for immediate pick-up of the Child as requested by WonderWorks from time to time.

MEDICAL EMERGENCIES

22. The Parents will provide the contact details of at least one individual, that is not a Parent, to act as an emergency contact.

23. While WonderWorks will make all reasonable efforts to contact the Parents and the emergency at contact(s) in the case of an Emergency, the Parents agree that WonderWorks may take actions such as calling emergency services and performing cardiopulmonary resuscitation (CPR), as

needed, in case of an Emergency.

24. The Parents agree the Child may be hospitalized or cared for by ambulance or inhalator attendants in case of emergency, illness or accident (an “Emergency”). The Parents agree to be fully responsible for any associated costs.

ALLERGIES

25. The Parents represent and warrant that all allergies of the Child have been identified on the Form.

26. While WonderWorks takes reasonable precautions to create and maintain a safe environment for children with food allergies, WonderWorks is not an allergen-free zone. WonderWorks may serve snacks when providing the Services and other children may bring their own snacks. Recognizing these risks, the Parents voluntarily choose to allow the Child to participate in the Activities and expressly and voluntarily assume all risks and full responsibility for any resulting sickness to the Child.

INTELLECTUAL PROPERTY

27. The Parents acknowledge and agree that WonderWorks owns all right, title and interest in, to and associated with all work product used at WonderWorks, including without limitation:

(a) the curriculum, instructional materials, related notes, worksheets and learning resources;

(b)all computer media, computer programs, user manuals, drawings, plans, prototypes, notes, writings, compositions, devices, samples and all deliverables; and

(c) all proprietary and quasiproprietary right in, to and associated with the work product, including without limitation, all ideas, inventions (whether or not patentable), patents, industrial designs, design patents, data rights, trade marks, copyrights, confidential information, trade secrets, know how and goodwill (collectively, the “Intellectual Property”). The Parents represent and warrant that the Parents will not infringe on WonderWork’s right, title, or interest in the Intellectual Property.

CONFIDENTIALITY AND NON-DISPARAGEMENT

28. The Parents acknowledge and agree that any public statement they make during or after engagement of or involvement with WonderWorks for any reason, regarding WonderWorks, its management or employees can have a significant effect upon WonderWorks’ reputation, goodwill and financial position. The Parents shall not, and shall ensure that the Child does not, engage in any public comment, whether written, verbal or otherwise, that would or could reflect negatively on the reputation of WonderWorks, its management or employees.

29. The Parents may become aware of or possess information of WonderWorks or of third parties disclosed to WonderWorks that is not generally known to the public. “Confidential Information” includes any and all information that is not publicly known, including the Intellectual Property and all information related to Wonderworks’ operations including, but not limited to, any and all written and verbal communications between any staff member, management, volunteer, parent and child and personal information or files of any staff member, management, volunteer, parent or child shall be confidential. The Parents agree to keep confidential all Confidential Information and to preserve the confidential and proprietary nature of the Confidential Information at all times. The Parents represent and warrant that neither the Parents nor the Child will disclose to or discuss with anyone other than those authorized to receive such information, unless disclosure is authorized by law. The Parents further represent and warrant that the Parents and the Child will not take photos of or maintain records of any Confidential Information and will destroy any Confidential Information in their possession upon request by WonderWorks.

30. Any questions or concerns that the Parents may have shall be raised and discussed directly with WonderWorks’ management. The Parents should only contact WonderWorks’ directly through the authorized communication channels provided by WonderWorks.
